Terms and Conditions

1. Introduction
These Terms and Conditions ("Terms") govern the relationship between FillPrescript ("Platform", "we", "us", or "our") and pharmacies ("Pharmacy", or "you") that register to use our digital pharmacy platform services.
By registering as a Pharmacy on FillPrescript, you agree to be bound by these Terms and our Privacy Policy. These terms are designed to ensure compliance with Nigerian regulations and app store requirements.
2. Interpretation and Definitions
Interpretation
The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.
Definitions
For the purposes of these Terms:
- Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Haipa Technologies Solutions Ltd, the local operator and settlement agent for FillPrescript in Nigeria. The FillPrescript mobile application (iOS and Android) is developed and published by GigiPod LLC, a company registered in the United States.
- Country refers to: Nigeria
- Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.
- Pharmacy or Pharmacy Partner means a licensed pharmaceutical provider registered on our platform to receive and fulfill prescription orders.
- PCN means the Pharmacists Council of Nigeria, the regulatory body for pharmacy practice in Nigeria.
- Service refers to the FillPrescript mobile application, website, and related services.
- Website refers to FillPrescript, accessible from https://fillprescript.ng
- You means the pharmacy or the individual acting on behalf of the pharmacy accessing or using the Service.
3. Description of Service
FillPrescript is a digital platform that enables licensed pharmacies in Nigeria to:
- Receive prescription requests from patients via our patient app
- Provide quotes and process medication orders
- Accept secure digital payments for medication purchases
- Manage inventory and communicate with patients regarding prescriptions
4. KYC & Licensing Requirements
Mandatory Licensing: To use FillPrescript, the pharmacy must maintain a valid license from the Pharmacists Council of Nigeria (PCN). We reserve the right to suspend accounts of unverified or unlicensed pharmacies.
Required Documentation
As part of our Know Your Customer (KYC) verification process, pharmacies must provide:
- Valid Pharmacists Council of Nigeria (PCN) license
- Certificate of Business Registration (CAC)
- Superintendent Pharmacist identification and license
- Proof of physical pharmacy location (utility bill or lease agreement)
- Bank account details for settlement purposes
- Valid government-issued ID of the pharmacy owner or authorized representative
Ongoing Compliance
Pharmacies must:
- Maintain valid PCN licensure throughout the duration of platform usage
- Notify FillPrescript immediately of any changes to license status
- Provide updated documentation upon license renewal
- Comply with all applicable pharmaceutical regulations in Nigeria
- Permit periodic verification checks by FillPrescript
Account Suspension
FillPrescript reserves the right to immediately suspend or terminate any pharmacy account that fails to maintain valid PCN licensure, provides fraudulent documentation, or fails to comply with KYC requirements. Suspended accounts will not receive settlements until compliance is restored.
5. Settlement & Payouts
Settlement Agent: Payments collected from patients on FillPrescript.ng are settled into the Pharmacy's account via Haipa Technologies Solutions Ltd, utilizing the infrastructure of Flutterwave or Monnify.
Role of Haipa Technologies Solutions Ltd
Haipa Technologies Solutions Ltd serves as the local operator and settlement agent for the FillPrescript platform in Nigeria. In this capacity, Haipa Technologies Solutions Ltd:
- Processes and facilitates all payment settlements to pharmacy accounts
- Maintains compliance with Central Bank of Nigeria (CBN) regulations
- Ensures secure and timely transfer of funds to verified pharmacy accounts
- Provides settlement reports and transaction records
- Handles settlement disputes and reconciliation
Settlement Schedule
Settlements are processed according to the following schedule:
- Standard Settlement: Within 24-48 hours after order fulfillment confirmation
- Settlement Days: Monday through Friday (excluding public holidays)
- Minimum Settlement Amount: ₦1,000
Fee Structure
Listing on FillPrescript is free with no setup costs or monthly subscription fees. The following fees apply to fulfilled orders and are deducted before settlement:
- Platform Commission: 5% of the order value per fulfilled order
- Payment Processing Fee: 1.5% of the order value, capped at ₦2,000 per transaction
Net settlement amount = Order Value - Platform Commission - Payment Processing Fee
Fees are subject to change. We will notify pharmacies of any fee changes at least 30 days before taking effect.
Settlement Transparency
Pharmacies will have access to:
- Real-time transaction dashboard showing all orders and their status
- Detailed settlement reports with breakdown of fees and net amounts
- Historical transaction records for accounting purposes
- Settlement confirmation notifications via email and SMS
6. Data Processing & Privacy
Joint Data Controller Status
Important: When a pharmacy receives patient data through the FillPrescript platform, the pharmacy becomes a "Joint Data Controller" for that patient data alongside FillPrescript. As a Joint Data Controller, the pharmacy must comply with the Nigeria Data Protection Act (NDPA) and all applicable data protection regulations for how they store, process, or print prescriptions.
Pharmacy Data Obligations
As a Joint Data Controller, pharmacies must:
- Process patient data only for the purpose of fulfilling prescription orders
- Implement appropriate technical and organizational security measures
- Not share patient data with third parties without explicit consent
- Securely store any printed prescriptions and patient records
- Delete or anonymize patient data when no longer required for legitimate purposes
- Respond to patient data access, correction, or deletion requests
- Report any data breaches to FillPrescript within 24 hours of discovery
NDPA Compliance
Pharmacies acknowledge and agree to:
- Comply with all provisions of the Nigeria Data Protection Act (NDPA)
- Maintain records of data processing activities
- Appoint a data protection officer if required by law
- Conduct data protection impact assessments where necessary
- Cooperate with the Nigeria Data Protection Commission (NDPC) upon request
Data We Collect
FillPrescript collects and processes the following pharmacy data:
- Business registration and licensing information
- Contact details (email, phone, address)
- Bank account information for settlements
- Transaction and order history
- Platform usage and interaction data
7. Analytics & Cookies
FillPrescript uses analytics tools to improve our platform and services. By using our platform, you acknowledge that:
Google Analytics
We use Google Analytics to collect and analyze usage data, including:
- Pages visited and time spent on each page
- Device type, browser, and operating system
- Geographic location (country/city level)
- Referral sources and user journey
- Interaction events (clicks, form submissions)
This data helps us understand how pharmacies use our platform and identify areas for improvement. Google Analytics data is processed in accordance with Google's privacy policy and data processing terms.
Cookies
Our platform uses essential cookies for authentication and session management, as well as analytics cookies. You can manage cookie preferences through your browser settings, though disabling essential cookies may affect platform functionality.
8. Pharmacy Obligations
Pharmacies using FillPrescript agree to:
- Maintain accurate inventory and pricing information on the platform
- Respond to prescription requests within a reasonable timeframe
- Dispense only genuine, properly stored medications
- Verify all prescriptions according to Nigerian pharmaceutical laws
- Maintain professional standards in all patient interactions
- Not engage in price gouging or unfair pricing practices
- Provide accurate information about medication availability
- Complete order fulfillment within agreed timeframes
9. Prohibited Activities
Pharmacies are prohibited from:
- Dispensing controlled substances without valid prescriptions
- Selling counterfeit, expired, or improperly stored medications
- Sharing platform access credentials with unauthorized parties
- Manipulating prices or engaging in anti-competitive practices
- Using patient data for unauthorized marketing purposes
- Circumventing platform payment systems
- Providing false or misleading information to patients
10. Pharmacy Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Provide accurate and complete registration information
- Update your information to keep it current
- Notify us immediately of any unauthorized use of your account
- Not share your account credentials with others
11. Intellectual Property
The FillPrescript name, logo, platform interface, and all related content are owned by FillPrescript and protected by Nigerian and international intellectual property laws. Pharmacies are granted a limited, non-exclusive license to use the platform for its intended purpose. You may not copy, modify, or create derivative works from any FillPrescript materials without express written permission.
12. Limitation of Liability
FillPrescript provides a technology platform connecting patients with pharmacies. We do not:
- Guarantee any minimum order volume or revenue
- Take responsibility for medication quality or dispensing errors
- Provide pharmaceutical advice or services
- Guarantee uninterrupted platform availability
To the maximum extent permitted by Nigerian law, FillPrescript shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform.
13. Indemnification
Pharmacies agree to indemnify and hold harmless FillPrescript, GigiPod LLC, Haipa Technologies Solutions Ltd, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from: (a) the pharmacy's breach of these Terms; (b) the pharmacy's violation of any law or regulation; (c) any claim related to medications dispensed by the pharmacy; or (d) the pharmacy's misuse of patient data.
14. Termination
Either party may terminate this agreement:
- By Pharmacy: With 30 days written notice to FillPrescript
- By FillPrescript: Immediately for breach of these terms, loss of PCN license, or fraudulent activity; otherwise with 30 days notice
Upon termination, pending settlements will be processed within 14 business days, subject to any holds for disputed transactions.
15. Dispute Resolution
Any disputes arising from these Terms shall be resolved as follows:
- Negotiation: Parties shall first attempt to resolve disputes through good-faith negotiation
- Mediation: If negotiation fails, disputes shall be submitted to mediation
- Arbitration: Unresolved disputes shall be settled by binding arbitration in Lagos, Nigeria
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Nigeria.
17. Amendments
FillPrescript reserves the right to modify these Terms at any time. Material changes will be communicated to pharmacies via email at least 30 days before taking effect. Continued use of the platform after changes take effect constitutes acceptance of the modified terms.
